STATEMENT
OF UNDERSTANDING
This Statement of Understanding entered into thisday of ,
,by and between NANNIES WHO CARE, INC., hereinafter referred to as NWC, Inc.,
and
, hereinafter referred to as Candidate;
WHEREAS the Candidate is interested in interviewing with various families in order
to gain employment as a Nanny.
NOW THEREFORE, in exchange for mutually agreeable consideration, the parties hereby
agree as follows:
1.
At all times material to this placement process,
the Candidate is acting as an independent contractor and is not to be construed
as an employee or agent of NWC, Inc.
2.
NWC, Inc. will exercise its efforts to place Candidate in a position as a Nanny.
3. In
the event Candidate becomes employed as a result of efforts expended by NWC, Inc.
the Candidate will immediately notify NWC, Inc. of such employment.
4.
The candidate hereby acknowledges that this arrangement with NWC, Inc. is exclusive
and Candidate cannot babysit for a respective employer on a subsequent basis without
the employer paying NWC, Inc.'s fee, unless the employer is registered with the
on-line on-call service.
5.
The Candidate acknowledges that NWC, Inc. has made no screening or background
investigation concerning the potential clients with which the Candidate may be
placed and therefore Candidate takes on such placement at his or her own risk.
6.
In the event the Candidate becomes employed by a particular client and such employment
is terminated by the client within the guarantee period due to no fault of the
Candidate, the NWC, Inc. shall refer the Candidate to other potential clients.
7. The
Candidate does forever discharge and hold NWC, Inc. harmless for any damages resulting
from the Candidate's employment or potential employment as a Nanny . Additionally,
NWC, Inc., in any litigation involving this agreement, shall be entitled to the
recovery of all reasonable attorneys fees and costs incurred relating to said
litigation.
8. All Candidates
must agree not to start any nanny or babysitting service, nor may they manage
either directly or indirectly, or become involved in any capacity that would
result as a competitor to NWC, Inc. for a period of 3 years from the date of this
agreement.
9.
All candidates must agree to call NWC, Inc. to report in any on-call requests
they receive from clients of NWC, Inc., to insure the safety of the nanny and
to insure the integrity of the service.
