NANNIES WHO CARE, INC.
STATEMENT OF UNDERSTANDING
This Statement of Understanding entered into thisday of ,
, by and between NANNIES WHO CARE, INC., hereinafter
referred to as NWC, Inc., and
(father) and (mother), hereinafter
referred to as Client;
WHEREAS, NWC, Inc. is a Florida corporation in the
business of placing Nannies with various families, and
WHEREAS, Client is seeking the services of a permanent Nanny, and desires
to retain NWC, Inc. to assist in locating a suitable permanent Nanny,

The Client hereby acknowledges that it will pay a nonrefundable application
fee of $175.00 to NWC, Inc. in exchange for NWC, Inc. referring between 1 7
prospective candidates for a permanent Nanny position.
The placement fee rates are determined by the following:
Live in Nanny

Live out Nanny (30 hours/week or more)

Live out Nanny (Under 30 hours/week)

If and when the Client accepts a permanent candidate, Client shall immediately
notify NWC, Inc. of said acceptance and will pay NWC, Inc. the placement fee. The placement fee is due prior to the date the Nanny begins
employment. A charge of $20 per day will be added to the placement fee if
the nanny is employed by the client and the placement fee has not been paid to
NWC, Inc.

If, after acceptance of a prospective permanent candidate, they are reasonably
unacceptable and NWC, Inc. is notified in writing of such unacceptability within
four (4) months of said employment, then NWC, Inc. will refer other respective
candidates. If otherwise notified
between four-five months, a 20% discount will be considered; upon five-six months
notice a 10% discount will be provided on another placement fee.
This guarantee does not apply if Client moves and Nanny does not wish to
travel with them. There are no refunds.

The Client hereby acknowledges that it will pay a flat fee of $10.00 to
NWC, Inc. for each
Nanny per day each time it uses temporary nanny services.
For overnight temporary nanny services (2 consecutive overnight days or
more), NWCs rates are $20.00 per day. If such temporary position turns into a permanent position,
Client shall immediately pay NWC, Inc. its placement fee which shall depend on
NWC, Inc.s rates at that particular time. The Client acknowledges that temporary
fees are not applied to permanent placement fees. The client also acknowledges
that on occasion nanny services may not be available.

The Client hereby acknowledges that it may not use the same Nanny or additional
nanny services referred by NWC, Inc. on a subsequent occasion without paying the
above-referenced nanny fee to NWC, Inc.

These rates are subject to change at any time by NWC, Inc.
There will be a $25.00 charge for any returned checks.
7.
The
Client does forever discharge and hold NWC, Inc. harmless for any and all acts
of the Nanny.
Additionally,
NWC, Inc. in any litigation involving this agreement, shall be entitled to the
recovery of all reasonable attorneys fees and costs incurred relating to said
litigation.
8. The
Client agrees to not directly or indirectly own or operate another nanny service
within 50 miles of any city served by NWC, Inc. within 5 years of the date of
this agreement.
